User Agreement
Welcome to Employ Me Cy,
This User Agreement (hereinafter referred to as the “Terms” or “Terms & Conditions” or “Terms of Service”) shall govern the relationship between Employ Me Cy, a business, having its principal office Paphos, Cyprus (hereinafter referred to the “Company” or “Employ Me Cy” or “us” or “our” or “we”) and you (hereinafter referred to “you” or “your” or “user(s)” or “Candidate(s)”) and shall govern your use of our website – www.employmecy.com (hereinafter individually as well as collectively, referred to as the “Site” or “Platform”).
The Employ Me CY is the straight connection between candidates/employees and employers of Cyprus. If you are looking for a job, we can assist you in finding one. You can start by filling up an application form and uploading your CV. Then, depending upon your choice of the city and industry that you are interested to work in, our registered employers (hereinafter referred to as the “Employers”) will be notified of your application, and can contact you should your skills match with their needs. (hereinafter referred to as the “Service”).
This Agreement is applicable on the Candidates, who are seeking an employment opportunity in Cyprus (“Candidates”). Please read this User Agreement carefully, as this, along with our Disclaimer, Community Standards, Cookie Policy and Privacy Policy statement forms the entire agreement between you and Employ Me Cy. If you do not accept this User Agreement in its entirety, then you shall not use the Platform or avail our services.
In case you are an Employer, who is looking to find the right candidate, please refer to our Employer Terms.
Additionally, how we collect, use, store, share and transmit your data is governed by our Privacy Policy statement and the kind of content that you post in your application form and CV is governed by our Community Standards. This User Agreement shall be read in conjunction with our Disclaimer, Community Standards, Cookie Policy and Privacy Policy statement.
1. ACCEPTANCE OF THESE TERMS
By accessing or using the Site, or by filling up the application form or submitting your CV on our Site, or by clicking on a button or taking similar action to signify your affirmative acceptance of this User Agreement, you hereby represent that:

You have read, understood, and agreed to be bound by this User Agreement and any future updates and additions to this User Agreement, as published from time to time on the Site.

You are of sound mind and at least of such minimum legal age as per the jurisdiction in
which you reside, in order to form a binding contract with us and to seek employment. In case you are not of the age of majority as per the laws of the State that you reside in, then you cannot access the services and submit applications on the Site.

We must not have previously disabled your account for violation of law or any of our policies.

You must have all the legal capacity, legal permissions, education qualification, certificates and/or licenses to apply and accept employment as a Candidate in Cyprus in the industry that
you are seeking the employment;

You have read, understood and consented to our Disclaimer, Community Guidelines, Cookie
Policy as well as our Privacy Policy statement.
2. APPLICATION, PASSWORD AND SECURITY
a) Application: You do not need to register and create an account in order to use our services. To
begin, you need to fill up an application form by providing all the relevant and necessary details, and by uploading your CV. All the information and CV submitted by you must be accurate, complete and up-to-date, and must not be untrue, misleading or outdated in any respect. Once you submit your application, you will receive a confirmation from us along with one unique password over your email. Your submitted application will be available to the Employers for a period of one (1) year, after the end of which it will be auto-deleted.
b) Security: You are responsible for maintaining the confidentiality of the password. You must not share your password with any other person.
c) Inaccurate Information: If we have reasonable grounds to suspect that any of the information submitted by you is untrue, inaccurate, outdated, or incomplete, in that case, we may refuse current or future use of any or all of the services to you.
d) Deleting your Application: Once you submit your application, you will receive a confirmation from us along with one unique password over your email. You can use this password to delete your application from our Platform at any time on this link. Remember, all submitted applications are available to the Employers on our Platform for a period of one (1) year, after the end of which these are auto-deleted.
3. HOW CAN YOU USE THE SITE? i. Allowed uses:
a) Directions of Use: You must follow any and all guidelines or policies or directions of use as associated with each of the services on the Platform. You must also abide by the terms mentioned in our Community Standards while submitting your application and CV.
b) Information: Whenever prompted, you must provide us with the correct, accurate and updated information, including but not limited to your name, email, contact number, CV, etc. All the submitted information will be processed by Employ Me Cy and its employees in accordance with our Privacy Policy statement.
c) Material: For the purposes of this User Agreement, “material” shall mean any logos, trademark, text, video, graphics, sound material, published on the Site, whether a copyright of Employ Me Cy, Employers, our licensors or any third party. You are not allowed to download or print the material, or extracts from it, in a systematic or regular manner or otherwise so as to create a database in electronic or paper form comprising all or part of the material appearing on the Platform. You must not reproduce any part of the Platform or the material or transmit it to or store it in any other Platform or disseminate any part of the material in any other form, unless we have indicated that you may do so.
ii. Restricted uses:
a) You can’t impersonate others, or provide inaccurate information about yourself. You must be of legal age to work in Cyprus while submitting your application.

b) You can’t include anything in the application and in the CV that has a comment on any political, racist or such other issue which affects a person, community or society. For more information, see our Community Standards.

c) You must not misuse or interfere with the Services or Platform or try to access them using a method other than the interface and the instructions that we provide. You may use our Services only as permitted by law and as per the directions provided by us.

d) You must not:

● republish material from this Platform;

● sell, rent or sub-license material from the Platform;
-
● show any material from the Platform in public without our consent;
-
● edit or otherwise modify any material on the Platform;
-
● reproduce, duplicate, copy or otherwise exploit material on our
Platform for a commercial purpose; or
-
● redistribute material from the Platform, except for content specifically
and expressly made available for redistribution with our written consent
and according to our terms;

● infringe or violate our Intellectual Property Rights or Intellectual
Property Rights of our Employers, other Candidates, licensors or any
third party;

● We reserve the right to restrict your access to any areas of our Platform,
or indeed our whole Platform, at our discretion.

e) You must not use our Platform in any way that causes, or may cause, damage to
the Platform or impairment of the availability or accessibility of the Platform; or in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.

f) You must not use our Platform to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, trojan horse, worm, keystroke logger, rootkit or other malicious computer software.
g) You must not conduct any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction and data harvesting) on or in relation to our Platform, without our express written consent.
In case of your violation or non-compliance of any of the terms mentioned in this User Agreement, we reserve the right to suspend or terminate your access to the Site and take other appropriate legal action, at our sole discretion.
4.OUR CONTENT AND RIGHTS
This Site, its logos, its content, database, designs, trademarks, trade dress, trade name, all of our features, functionalities and services, shall remain the sole property of the Employ Me Cy, and/or its licensors, as the case may be. Your use of or access to this Site or availing of our services shall not in any way transfer or assign to you any ownership or other proprietary rights in or to this Platform, our services, any content (except your own content), designs, published by us or our licensors or third parties. This Site, and the content, including but not limited to the trademark, logo, copyright, design, layout, typography, underlying HTML, Java scripts, text, audio clips, video clips and graphics, and in the expression of the information contained herein, whether as a compilation or otherwise is protected by relevant Intellectual Property laws, rules and regulations. Trademarks, trade names and designs appearing on this Platform are the exclusive property of, or are licensed to the Employ Me Cy and are protected. No use of a trademark, trade dress, trade name or design appearing on this Platform may be made without the prior written permission of the Employ Me Cy
5.YOUR APPLICATION FORM AND CV
a) Your Application and CV is yours: The application and the CV that you share with us may
be protected by intellectual property laws. You own the intellectual property rights in any such content residing in your application and CV (if any). Nothing in this User Agreement takes away the rights you have to your own content. You are free to share your CV and content (except defamatory one) with anyone else, wherever you want.

b) License: However, to provide our Services we need you to give us some legal permissions (known as a ‘license’) to use this content of yours. This is solely for the purposes of providing and improving our Services.

c) Description of License: Specifically, when you share your application form and CV that is covered by intellectual property rights, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, and worldwide license to host, use, distribute, modify, copy, share and translate your content. We will only process your application form, information and CV for the purpose of providing our services to you, and for sharing this information with the prospective Employers who might like to contact you for an interview.

d) Terminating the License: You can end this license for specific content by deleting your application and CV from our database, except (a) to the extent you or Employ Me Cy shared it with others as part of the Service and they copied, re-shared it or stored it and (b) for the reasonable time it takes to remove from backup and other systems.

e) Who can view your Application: Your application and CV is visible to the Employers on our Platform so that they may get into touch with you should they find you a suitable candidate for their company.

f) You may share it with others: Since you own your CV and information and we only have non-exclusive rights to it, you may choose to make it available to others, at your sole discretion.
6. CONTACT BY EMPLOYERS
Since we share your application and CV with the Employers registered on our platform, therefore, there is a likelihood that they may contact you should they find your application interesting and suitable. Moreover, since these Employers are essentially third-parties who have registered and subscribed on our platform, therefore, there is a likelihood that they might share your information with third-parties without our permission (although they are not permitted to do this), or they may misuse this information. We cannot always prevent this misuse of our services. You must be cautious while hearing from such prospective Employers, and/or interacting with them. Please read our detailed Disclaimer posted on the Site for more information.
7. PRIVACY
In order to see what data we collect and how we use or store or share such data, please refer to the detailed Privacy Policy statement available on our Site.

LINKS TO THIRD-PARTY SITES
The Site might contain links to third-party websites, products and services. Such third-party links are not under the control of Employ Me Cy, and Employ Me Cy is not responsible for any third-party links. Employ Me Cy provides access to these third-party links only as a convenience to you, and does not review, approve, monitor, endorse, warrant, or make any representations with respect to third-party links. You shall use all third-party links at your own risk, and should apply a suitable level of caution and discretion in doing so. Whenever you click on such links, you are taken to such third-party Sites, and you get out of the jurisdiction of our website. Therefore, you shall be governed by the terms, privacy policy and other policies of such third-party websites and we suggest that you read those policies. In case of any damage due to such action of third-party links, Employ Me Cy shall not be responsible.

LIMITATION OF LIABILITY
To the maximum extent permitted by law, in no event shall Employ Me Cy (or our licensors or affiliates) be liable to you or any third party for any financial loss, emotional loss, mental harassment, loss of career/job opportunity, spams, bogus calls/emails, cheating, financial fraud, illegal sharing of data, lost data, non-selection, discrimination, wrongful termination, costs of procurement of substitute services, or any indirect, consequential, exemplary, incidental, special or punitive damages arising from or relating to these terms or your use of, or inability to use the Platform or your contact with the Employers, even if Employ Me Cy has been advised of the possibility of such damages. Access to, and use of, the Platform is at your own discretion and risk, and you will be solely responsible for any damage to your person, career, job, device or computer system, or loss of data resulting therefrom. We are not associated with, and nor do we have any control over the Employers. All liabilities in this respect remain with the respective Employers, as the case may be.
8. LEGALACTION
If you are found to be degrading, tarnishing, maligning the image, goodwill or reputation of Employ Me Cy or its owner(s), by spreading hate, insulting, false, fake reviews or engaging in mala fide actions against the above, strong legal actions will be taken immediately.
11. INDEMNITY
You acknowledge to defend, indemnify and hold Employ Me Cy, its owners, affiliates, directors, officers, employees, agents, partners, and any other licensors (hereinafter referred to as “Indemnified Party”) harmless from and against any claim, disputes, fine, liability, demand or expense, including reasonable attorneys’ fees, made by a third party, relating to, or arising from:

a) Your violation of ours or any third-party right;

b) Your wrongful or improper use of our services, or Site;

c) Your violation of any applicable laws, rules or regulations;

d) Your violation of this User Agreement, our Community Standards, or any other policy of
Employ Me Cy as associated with our services;

e) The indemnifications set forth above will survive the termination or expiration of this
User Agreement and/or your use of our services.
9. GOVERNINGLAWANDDISPUTERESOLUTION

Governing Law: This User Agreement and any dispute arising from the same will be
governed by applicable laws of Republic of Cyprus.

Exclusive Jurisdiction: All disputes must first be attempted to be resolved amicably, failing
which, such controversy, conflict or dispute shall be finally settled by bringing it exclusively
before the appropriate courts located in Paphos, Cyprus.

Disputes between Candidates and Employers: You understand and acknowledge that
Employ Me Cy is a mere facilitator between you and the Employers, and we in no way are responsible for the conduct of either the Candidates or Employers. Therefore, if you have any claim or dispute against one of the Employers, you undertake to take it up directly with the concerned Employer, as the case may be. Employ Me Cy shall not mediate or resolve such disputes, and nor shall become a party to such disputes. However, if you believe that any other Candidate or Employer has violated this User Agreement/Employer Terms, our Community
Guidelines, applicable law, or any other policy of Employ Me Cy, you can file your complaint at info@employmecy.com, and we will take necessary action in accordance to our policies and applicable law.
10. NOTICE
When you use the Platform, submit an application, or send emails to Employ Me Cy, you are communicating with us electronically. You consent to receive electronically any communications related to your use of this Site. Employ Me Cy will communicate with you by email or by posting notices on this Platform. The prospective Employers may get in touch with you via phone or email should they find your profile interesting and suitable. You agree that all agreements, notices, disclosures and other communications that are provided to you electronically by us satisfy any legal requirement that such communications be in writing. We may give notice by means of a general notice via electronic mail to your email address as available with us. If You want to give a notice to us, you can do so by dropping an electronic mail to info@employmecy.com.
11. MiSCELLANEOUS

Independent Legal Advice: It is your obligation to obtain independent legal advice at your
own expense to ensure you understand the provisions of these Terms.

Headings: The section headings are for convenience only and shall not control or affect the
meaning or construction of any provision of these Terms.

Breach: In case of any breach or threatened breach to the provisions of these Terms, we
reserve the right to suspend your access to our website, at our sole discretion.

Severability: If any provision of this User Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions of this User
Agreement will continue in full force and effect.

Waiver: Our failure to insist on or enforce strict performance of this User Agreement shall not
be construed as a waiver by us of any provision or any right that we have to enforce this User Agreement and nor shall any course of conduct between Employ Me Cy and you or any other party be deemed to modify any provision of this User Agreement.

Survival: Notwithstanding any other provisions of This User Agreement, or any general legal principles to the contrary, any provision of This User Agreement that imposes or contemplates continuing obligations on either party shall survive the expiration or termination of This User Agreement, for any reason whatsoever.

No Third-Party Beneficiaries: Except as otherwise expressly provided in This User Agreement, there shall be no third-party beneficiaries to This User Agreement.

No Assignment: You may not assign This User Agreement (or any rights, benefits or obligations hereunder) by operation of law or otherwise without the prior written consent of Employ Me Cy, which may be withheld at Employ Me Cy’s sole discretion. Any attempted assignment that does not comply with This User Agreement shall be null and void.

Entire Agreement: The User Agreement, Disclaimer, Community Guidelines, Cookie Policy and our Privacy Policy statement, together with any additional terms and conditions incorporated herein or referred to herein constitute the entire Agreement between Employ Me Cy and you, relating to the subject matter hereof, and supersedes any prior understanding or agreements (whether oral or written) regarding the subject matter, and may not be amended or modified except in writing or by making such amendments or modifications available on our Site.

Force Majeure: Employ Me Cy and its associates and employees will be excused from performance for any period during which, and to the extent that, such party or any subcontractor is prevented from performing any obligation or service, in whole or in part, as a result of causes beyond its reasonable control, and without its fault or negligence, including without limitation, acts of God, strikes, lockouts, riots, acts of terrorism or war, epidemics, communication line failures, power failures and government-imposed lockdowns or similar restrictions.

Updates to this User Agreement: We may add to or change or update this User Agreement at any time, from time to time, entirely at our own discretion, with or without any prior written notice. You are responsible for checking this User Agreement periodically. Your use of the Platform after any amendments to this User Agreement shall constitute your acceptance to such amendments.

Employers Terms
These Employer Terms shall be applicable only to the employers/organisations who have signed up on our website - www.employmecy.com owned and managed by Employ Me Cy, a business entity, having its principal office Paphos, Cyprus.
These Terms will be deemed as accepted by you by accessing our website or by registering on or using or purchasing one of our Subscription plans or availing our Services in any way or by clicking on a button or taking similar action to signify your affirmative acceptance of these Terms.
In addition to these Terms, our Community Guidelines, Disclaimer, Refund Policy, Cookie Policy and Privacy Policy statement posted on the website shall also be applicable to you.
1. DEFINITIONS
For the purposes of these Employer Terms, the following capitalised terms shall have the following meaning:
‘Terms’ shall refer to these Employer Terms, as applicable to the Employers registered on Employ Me Cy.
‘Applicant(s)’ or ‘User(s)’ or ‘Candidate(s)’ shall refer to your applicants or users or candidates who are seeking jobs on Employ Me Cy.
‘Community Guidelines’ shall refer to the Community Guidelines posted on our website.
‘Company’ refers to Employ Me Cy, a business entity, having its principal office Paphos,Cyprus.
‘Service(s)’ shall mean the services offered to you by Employ Me Cy on the website, and as
updated from time to time. When you purchase one of our Subscription plans, then depending upon the plan that you purchase, you will be made available with one or more of the Services as available on the website.
‘Subscription’ shall refer to the subscription of Employ Me Cy as purchased or that can be purchased by you (Employer) in order to use the features and functionalities of the platform.
‘Privacy Policy’ shall refer to the Privacy Policy statement posted on our website.
‘Employer’ shall refer to you, a business entity or an organization, which has registered/signed up on our website.
‘Website’ shall refer to www.employmecy.com
2. ACCEPTANCE OF THESE EMPLOYER TERMS
By registering on our website or purchasing one of our Subscription plans or by using or accessing the website or our Services made available through the website, or by clicking on a button or taking similar action to signify your affirmative acceptance of these Terms, you hereby represent that you have read, understood, and agreed to be bound by these Terms and any future updates and additions to these Terms, as published from time to time at the website.
3.LIMITED LICENSE
Our website, and all of its Services, features and functionalities are being provided to you on a non- exclusive license basis, contingent upon you paying the required fees by choosing one of our Subscription plans. Specifically, we only grant you a limited, non-exclusive, non-transferable, revocable right to use and/or access the Services for finding a suitable candidate for your business. We reserve the right to revoke this license if at any time you are found to be misusing our Services or breaching these Terms or simply when you fail to make the payment for the Services. You are expressly prohibited from sharing the access to your account with any person outside of your organization, or finding a candidate for another organization. If you are found to be sharing your account login access in violation of this Section, then we reserve the right to terminate your access immediately, and in such case, you will not be eligible to receive a refund for the unutilized portion of your Subscription.
4. ACCOUNT REGISTRATION AND VERIFICATION

a) Account Registration: To access the website, you are required to sign up and create an account
with us. When setting up and maintaining your account, you must provide and continue to provide accurate and complete information about yourself and your business. As part of the registration process, you will create a password and an account.

b) Registration Details and Verification: While registering the account on the website, you will be required to furnish details about you, your business, and your services. You agree and acknowledgethat we may directly or through a third-party service provider validate the information provided by you on the website. You agree to furnish additional information and provide documentary proof as may be requested by us, from time to time, for the purposes of verification of your Employer account information. If any information provided by you is found to be incorrect or misleading, we reserve our right to take appropriate steps as set forth under Section 4(d) of these Terms. We reserve the right to seek additional information from you about you, your service and your business, from time to time and you consent to provide such additional information to continue using the Services on the website.
c) Security: You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your account, including, without limitation, all actions by sub-users registered under your account. You agree to (a) immediately notify us of any unauthorized use of your password or account or any other breach of security, (b) ensure that you exit from your account at the end of each session, (c) not give access to your website account details (including password) to any third party or to more than the prescribed number of allowed users as per the Subscription plan purchased by you, without our written consent. We cannot and will not be liable for any loss, damage or other liability arising from your failure to comply with this Section or from any unauthorized access to or use of your account.
d) Inaccurate Information: If we have reasonable grounds to suspect that any of the information submitted by you is untrue, inaccurate, outdated, or incomplete, we may terminate your account, and refuse current or future use of any or all of the Services, without providing a refund to the unutilized Subscription period.
5. PUBLISHER’S OBLIGATIONS, REPRESENTATIONS AND WARRANTIES i. You represent, warrant and agree that:

you are an authorized representative of a lawfully incorporated business entity in Cypriot on whose behalf you are creating an account, and are fully able and competent to understand and agree to these Employer Terms;

you have full power and authority to accept the Terms on behalf of the Organization, and the authorization to perform the obligations hereunder;
c. you as well as your Company are fully entitled under the applicable law to recruit for the position that you are seeking application on Employ Me Cy, and have all the licenses for the same;

you have read, understood and consented to our Community Guidelines, Disclaimer, Refund Policy, Cookie Policy and Privacy Policy statement posted on the website;

you shall use the website and Services for business and professional purposes only;
-
your business is validly existing and incorporated / established as per the applicable
laws of Cypriot, and your business is not prohibited as per laws of Cypriot;
-
you are solely responsible for compliance with any data protection and privacy laws
and rules applicable to the sensitive information;
-
you shall comply with all applicable laws while using and accessing the website and
its Services. This includes but is not limited to laws and regulations pertaining to email solicitation, spam, financial and monetary schemes, phishing, computer fraud, computer crimes, unauthorized collection or use of data of any kind including but not limited to data that is protected by law, fraud, deception, invasion of privacy, defamation, discrimination, harassment, terrorism, and the like;

you shall be solely responsible for obtaining all necessary third-party licenses and permissions (if any required) regarding any service that you provide;

any service or content or description that you write in the job post does not and will not violate our Community Standards;
-
you will be polite and generous in your interaction with the Applicants/Candidates, and will not abuse, harass, or be rude to them; and
-
all responsibilities and liabilities in respect of being compliant with the applicable law during the process of interviewing and hiring the candidate lies solely with you, and you will keep Employ Me Cy indemnified in this respect.
ii. Employer consents to the inclusion of the contact information about Employer in Employ Me Cy’s database and usage of the same as per the Privacy Policy.
The failure of the Employer to comply with any of the above, or any other provision of these Terms can lead to necessary action taken by Employ Me Cy, including without limitation, suspension or removal
of the account, without the refund of any unutilized Subscription fees and take other legal recourse, at the sole discretion of Employ Me Cy.
6. SUBSCRIPTION, LICENSE AND REFUNDS

Subscription: Employ Me Cy offers various features and functionalities on website. When you
purchase one of our Subscription plans, then depending upon the plan that you purchase, you will be provided with a license to one or more of the features and functionalities available on the website for the period of your subscription plan. More details of the license are provided in Section 4 above.

Plans: We presently have three subscription plans duration: i) For 1 month, ii) For 3 months, and iii) For 6 months.
-
Subscription Fee: The Subscription fee depends upon the plan that you purchase from Employ Me Cy. We reserve the right, in our sole discretion, to modify the prices of our Subscription plans, without any notice. However, if you have already purchased a Subscription plan at an older price, you will continue to enjoy that Subscription plan for its respective duration.

No Automatic Renewals: You will be billed in advance for paid subscription plans. Your Employ Me Cy subscription will not automatically renew at the end of each billing cycle. We will notify you 3 (three) days prior to the expiration of your current billing period. It is your responsibility to renew your subscription. If you do not renew your subscription, then at the end of your current subscription, none of your job posts will remain visible to the public.

Downgrades: Downgrading your Employ Me Cy account plan may cause the loss of features or capacity of your account. To the extent permitted by applicable law, Employ Me Cy does not accept any liability for such losses.

Cancellation and Refunds: Please review our cancellation and refund policy posted on our website.

Discount and Offers: We also may run various discounts and offers on one or more of our Subscription plans from time to time, and we reserve the right to modify, cancel or revoke any such discount or offer, at our sole discretion.

Termination of License: Your license will automatically terminate at the end of your
Subscription period. In order to continue to enjoy our Services, you are required to renew your
Subscription at the rates prevailing at the time of such renewal.

Terms, our Community Standards, or any other term of Employ Me Cy.
7. OWNERSHIP AND INTELLECTUAL PROPERTY
a) Rights of Employ Me Cy: This website, its logos, its content, designs, trademarks, trade dress,
trade name, software, all of our features, functionalities and services, shall remain the sole property of the Employ Me Cy, and/or its licensors, as the case may be. Your use of or access to this website or availing of our services shall not in any way transfer or assign to you any ownership or other proprietary rights in or to this website, our services, any content (except your own content), designs, published by us or our licensors or third parties.
b) Your Rights: The content, including without limitation, the job posts you create may be protected by intellectual property laws. You own the intellectual property rights in any such content that you create or share on the website. Nothing in these Terms takes away the rights you have to your own content. You are free to share your content (except defamatory one) with anyone else, wherever you want.
c) Our License: However, to provide our Services we need you to give us some legal permissions (known as a ‘license’) to use this content of yours. This is solely for the purposes of providing you the services as requested by you.
d) Terminating our License: You can end this license for specific content by deleting such content, or generally by closing your account, except (a) to the extent you shared it with others as part of the Service and they copied, re-shared it or stored it and (b) for the reasonable time it takes to remove from backup and other systems.
e) Rights of Users/Applicants: When you receive responses from the Applicants/Users/Candidates, then it is the Applicants/Users/Candidates who would hold the
intellectual property rights in the responses or content that they submit or share with you, unless anything contrary has been agreed between you and such Applicants/Users/Candidates.
8. RESTRICTIONS
Employer shall not, and shall not permit anyone to: (i) copy or republish the Services or website, its features and functionalities, (ii) make the Services available to any other person without our prior written consent, (iii) modify or create derivative works based upon the Services (except to the extent permitted), (iv) remove, modify or obscure any copyright, trademark or other proprietary notices contained in the website, (v) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the website used to provide the Services, (vi) access the Services in order to build a similar product or competitive product, (vii) damage or weaken or harm any of the servers of Employ Me Cy, (viii) access or attempt to access the Services or website in any unauthorized manner, (ix) transfer or sell Employ Me Cy account, or share the login credentials with any third-party, (x) breach any applicable law or commit any offence using the Services, (xi) use website to collect, use, or disclose personal information protected from any of these activities under privacy laws, (xii) use the service to collect, use, or disclose credit card information or any type of login credentials, and (xiii) use the Service in connection with any website or platform that contains any form of misleading, fraudulent, defamatory, obscene, violent, illegal, harassing, hateful, or pornographic content.
9. UPTIME
Employ Me Cy will use commercially reasonable efforts to make the website and Services available for access by the Employer 97% of the time, measured on a monthly basis, excluding Planned Outages. “Planned Outages” shall mean the installation of upgrades, routine application, server, or network configuration changes, and other reasonable maintenance activities. Employ Me Cy will post an advance announcement of any Planned Outage or intimate the Employer about the same through any other way.
10. COMPLAINTS
In case, any user has complained about any aspect of the job post published by you, we will look into such complaints, provide you a reasonable opportunity of being heard, and then take a decision on what action is to be taken against you. In case, you are found to be violating any provision of these Terms, we
reserve the right to suspend or remove your account, and prohibit future use of our Services to you, at our sole discretion. You hereby agree to fully cooperate with us on a timely basis for the resolution of the complaints submitted against you or your company or job post.
11. NO WARRANTIES
NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THE AGREEMENT, WEBSITE AND OUR SERVICES ARE PROVIDED TO YOU “AS IS”. WE AND OUR AFFILIATES AND LICENSORS MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE REGARDING WEBSITE OR OUR SERVICES, INCLUDING THAT OUR SERVICES WILL BE AVAILABLE, BE UNINTERRUPTED, ERROR FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT, INCLUDING YOUR CONTENT, WILL BE SECURE OR NOT OTHERWISE LOST OR DAMAGED. 12. LIMITATION OF LIABILITY AND INDEMNITY
To the maximum extent permitted by law, in no event shall Employ Me Cy (or our licensors or
affiliates) be liable to you or any third party for any financial loss, loss of time, lost profits, lost data, costs of procurement of substitute services, or any indirect, consequential, exemplary, incidental, special or punitive damages arising from or relating to these terms or your use of, or inability to use the website, even if Employ Me Cy has been advised of the possibility of such damages. We in no way guarantee that you will always be able to find suitable candidates on Employ Me Cy. Due to some technical error, you may not receive notifications for new candidates on your email. Access to, and use of, the website is at your own discretion and risk, and you will be solely responsible for any damage to your company or business or computer system, or loss of data resulting therefrom.

Without prejudice to the sub-section (i), our maximum liability to you, in all circumstances, shall not exceed the amount of Subscription fees paid by you in the last 1 (one) month from the date of your complaint.

Employer agrees to indemnify Employ Me Cy, affiliates, directors, employees, agents, representatives and third-parties and to hold them harmless, from any and all damages, losses, claims and liabilities (including legal costs on a full indemnity basis) which may arise from or in connection with: (i) your job post; (ii) from your use of the website or any of the Services; (iii) from your breach of the Terms or breach of any applicable laws; (iv) your negligence or wilful misconduct; (vi) any alleged or actual copyright, trade secret, trademark, trade name, or other intellectual property right infringement or other claim, demand or action resulting from the use of any of the Services; (vii) non-compliance with applicable law during hiring; and (viii) unlawful termination.
13. RELEASE, GOVERNING LAW AND DISPUTE RESOLUTION

responsibility for any and all wrongs and violations committed by you relating to your use of

6. f) Disputes between Candidates and Employers: You understand and acknowledge that Employ Me Cy is a mere facilitator between you and the candidates, and we in no way are responsible for the conduct of either the Candidates or Employers. Therefore, if you have any claim or dispute against one of the candidates, you undertake to take it up directly with the concerned candidate, as the case may be. Employ Me Cy shall not mediate or resolve such disputes, and nor shall become a party to such disputes. However, if you believe that any other Candidate has violated our User Agreement, our Community Guidelines, applicable law, or any other policy of Employ Me Cy, you can file your complaint at info@employmecy.com, and we will take
necessary action in accordance to our policies and applicable law.
14. NOTICES
When you use the website or send emails to Employ Me Cy, you are communicating with us electronically. You consent to receive electronically any communications related to your use of this website. Employ Me Cy will communicate with you by email, or by posting notices on this website. You agree that all agreements, notices, disclosures and other communications that are provided to you electronically satisfy any legal requirement that such communications be in writing. We may give notice by means of a general notice via electronic mail to your email address as available with us. 15. MISCELLANEOUS

Due to the nature of the services offered through the website (digital services), all purchases of our subscriptions are final and non-refundable.
